1. Acceptance of Terms
By accessing and using the FlexTechExec website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use my services.
2. Description of Services
FlexTechExec provides fractional CTO services including:
- Technical advisory and consulting
- Engineering team leadership
- Technology strategy development
- System architecture design
- Team scaling and hiring assistance
- Technology modernization services
3. Use of Website
You may use my website for lawful purposes only. You agree not to use the website:
- In any way that violates any applicable law or regulation
- To transmit or send unsolicited commercial communications
- To impersonate or attempt to impersonate me or my business
- To engage in any conduct that restricts or inhibits use by others
- To introduce viruses, malware, or other harmful code
4. Service Agreements
Specific consulting and advisory services are governed by separate service agreements that will include:
- Scope of work and deliverables
- Payment terms and schedule
- Confidentiality provisions
- Intellectual property rights
- Termination clauses
These terms of service are supplemented by, not replaced by, individual service agreements.
5. Intellectual Property
The website and its content, features, and functionality are owned by FlexTechExec and are protected by copyright, trademark, and other intellectual property laws.
Client Work Product
Unless otherwise specified in a service agreement:
- Client retains ownership of their existing intellectual property
- Work product created specifically for client becomes client property
- FlexTechExec retains rights to general methodologies and knowledge
- Both parties may use insights gained for future work (excluding confidential information)
6. Confidentiality
I understand the sensitive nature of business information and commit to:
- Maintaining strict confidentiality of all client information
- Not disclosing client information to third parties without consent
- Using client information only for providing contracted services
- Implementing appropriate security measures to protect information
- Returning or destroying confidential information upon request
7. Payment Terms
General payment terms include:
- Payment due within 30 days of invoice date
- Late payments may incur interest charges
- Clients are responsible for applicable taxes
- Refunds are subject to individual service agreements
- Services may be suspended for non-payment
8. Limitation of Liability
To the fullest extent permitted by law:
- FlexTechExec shall not be liable for any indirect, incidental, special, or consequential damages
- My total liability shall not exceed the fees paid for the specific service
- I am not responsible for client implementation of recommendations
- Clients are responsible for their own business decisions
9. Warranties and Disclaimers
I provide my services with professional care and skill, but:
- Services are provided "as is" without warranties
- I do not guarantee specific business outcomes
- Technology recommendations may become outdated
- Market conditions may affect the viability of strategies
- Client results may vary based on implementation and execution
10. Termination
Either party may terminate services according to individual service agreements. General termination provisions:
- Either party may terminate with appropriate notice
- Immediate termination for material breach
- Payment due for services rendered through termination date
- Confidentiality obligations survive termination
- Return of confidential information upon termination
11. Indemnification
Client agrees to indemnify FlexTechExec against claims arising from:
- Client's use of my services
- Client's breach of these terms
- Client's violation of any law or regulation
- Client's infringement of third-party rights
12. Governing Law
These terms shall be governed by the laws of Nova Scotia, Canada, without regard to conflict of law principles. Any disputes shall be resolved through:
- Good faith negotiation
- Mediation if negotiation fails
- Arbitration if mediation fails
- Courts of Nova Scotia as final resort
13. Changes to Terms
I reserve the right to modify these terms at any time. Changes will be effective:
- Upon posting of updated terms on this website
- With notice to active clients
- Continued use constitutes acceptance of changes
- Material changes may require explicit consent
14. Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control, including:
- Acts of God or natural disasters
- Government actions or regulations
- Labor disputes or strikes
- Internet or telecommunications failures
- Pandemic or public health emergencies
15. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
